Terms of Use and Service

⚠️ Draft — to be reviewed by a lawyer before publication. This English version is provided for information; the French version prevails in case of discrepancy.

1. Purpose & contracting party

The service is provided by the notarial office Cellard Notaires & Avocats (SELAS, 52 avenue de la République, 75011 Paris, France; SIREN 491 556 973; CRPCEN 94053), hereinafter “the Office”. depotdecapital.com is the Office's online service and has no separate legal personality: the client's contracting party is the notarial Office. The service allows share capital to be deposited with the notary and a certificate of deposit of funds (valuing as an attestation of capital deposit) to be obtained.

2. Description of the service

  • Completion of a questionnaire (company, shareholders, beneficial owners, source of funds). The steps may be carried out by the shareholder or by an agent (chartered accountant, lawyer…); in that case, the client and the agent receive the same communications.
  • Upload of the required documents and online signature of the fee agreement.
  • Review of the file by the notary, assisted by an automated check of the legibility and compliance of the documents (decision support, with no automated decision producing legal effects).
  • Issuance of the certificate within 24 hours (indicative) after actual receipt of the capital transfer and fees, and provided the file is complete and compliant.

3. Pricing

The service is offered as a fixed flat fee, with no subscription or commitment:

  • €230 incl. tax — shareholders who are French tax residents;
  • €500 incl. tax — at least one foreign or non-resident shareholder (enhanced checks).

The deposited share capital is not a fee: it is returned to the company after its registration (upon provision of the Kbis extract and bank details).

4. Payment

Payment is made by transfer to the notary's deposit account, or by online payment. The certificate is issued after actual receipt of the funds.

5. Client obligations

  • Provide accurate, complete and legible information and documents.
  • Comply with due-diligence obligations (AML/CFT): identity of shareholders, beneficial owners, source of funds.
  • Ensure the articles of association meet the one-stop-shop requirements (unsigned and undated at the deposit stage).

6. Security and authenticity

Each certificate carries a control code. Any bank or registry may verify its authenticity at depotdecapital.com/verifier. Only the deposit references are disclosed; the file details remain confidential.

7. Refusal or incomplete file (AML/CFT)

The Office may refuse or suspend a file that is incomplete, non-compliant, or in case of doubt under anti-money-laundering and counter-terrorism-financing rules (AML/CFT). Where a file is refused before work begins, any fees paid are refunded; if work has already started, processing fees may be retained. [Amount/share of processing fees and refund period to be specified.]

8. Return of capital

The capital is returned to the company after its registration (upon provision of the company's Kbis and bank details). If the company is not registered, any contributor may, after a period of six months from the deposit, request the return of their contribution (art. L.223-8 of the French Commercial Code for SARL/EURL; art. L.225-11 for SA, SAS and SASU). Funds are returned to each shareholder in proportion to their share.

9. Liability

The notary performs the checks required by regulation and bears professional liability, which cannot be excluded or limited by contract. The Office is not liable for delays or defects attributable to the client (incomplete file, illegible documents, late payment) or to third parties (issuing bank, transfer times, particularly for non-SEPA international transfers). The 24-hour period runs from actual receipt of the funds and of a complete, compliant file.

10. Right of withdrawal

Where the client acts as a consumer, they are in principle entitled to a 14-day withdrawal period. If they request performance of the service before the end of that period (processing within 24 h), they expressly waive their right of withdrawal for the part of the service performed, in accordance with the French Consumer Code. [Consumer/professional qualification and waiver terms to be confirmed legally.]

11. Complaints, mediation & governing law

Any complaint may be sent to contact@depotdecapital.com. Failing resolution, the consumer client may refer the matter free of charge to the Notariat Ombudsman (Médiateur du notariat) (see legal notice). This service is governed by French law; failing an amicable agreement, the French courts have jurisdiction.
